Welcome to Modarhem. By accessing or using our cloud accounting platform, you agree to be bound by these Terms of Service. Please read them carefully.
1. Definitions
"Platform" refers to the Modarhem cloud accounting software accessible at modarhem.com. "User" refers to any individual who creates an account. "Organization" refers to a business entity registered on the Platform. "Services" refers to all features provided by the Platform including accounting, invoicing, payments, reporting, and related tools.
2. Account Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials. You must be at least 18 years old to use the Platform. Each user account must represent a real person; automated accounts are prohibited.
3. Acceptable Use
You agree to use the Platform only for lawful business accounting purposes. You shall not attempt to gain unauthorized access to other accounts or organizations. You shall not upload malicious content or attempt to exploit security vulnerabilities. You shall not use the Platform to store data unrelated to accounting operations.
4. Subscription & Payments
The Platform offers one paid subscription that unlocks all features. Customers choose one of four commitment cycles — monthly, yearly, two-year, or three-year — all priced in Saudi Riyals (SAR) via the Moyasar payment gateway. Longer commitments receive a pre-disclosed effective-rate discount; the product you receive is identical across cycles. Subscriptions auto-renew unless cancelled before the renewal date. Refunds are available within 14 days of initial purchase if no significant usage has occurred. A separate free placeholder may be granted as a trial, complimentary, or pre-payment state, and does not constitute a paid subscription.
5. Data Ownership & Privacy
You retain full ownership of all accounting data you enter into the Platform. We do not sell, share, or transfer your data to third parties. Data is stored in secure, encrypted databases with row-level security isolation between organizations. For detailed information about data handling, please refer to our Privacy Policy.
6. ZATCA Compliance
The Platform provides tools to assist with ZATCA (Zakat, Tax and Customs Authority) Phase 1 and Phase 2 compliance. While we strive for accuracy, users are ultimately responsible for ensuring their tax filings and e-invoicing comply with applicable Saudi regulations. The Platform is a tool to assist compliance, not a substitute for professional tax advice.
7. Service Availability
We target 99.9% uptime for the Platform. Scheduled maintenance will be communicated in advance. We are not liable for service interruptions caused by factors beyond our control including internet outages, third-party service failures, or force majeure events.
8. Account Suspension & Termination
We reserve the right to suspend accounts that violate these terms or engage in suspicious activity. Users may delete their account at any time through the Platform settings. Upon account deletion, all associated data will be permanently removed within 30 days. Organizations with active subscriptions must cancel their subscription before deleting their account.
9. Limitation of Liability
The Platform is provided "as is" without warranties of any kind. We are not liable for any indirect, incidental, or consequential damages arising from your use of the Platform. Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim. This limitation does not apply where prohibited by applicable Saudi law.
10. Governing Law
These terms are governed by the laws of the Kingdom of Saudi Arabia. Any disputes shall be resolved in the competent courts of Riyadh, Saudi Arabia. These terms were drafted in both Arabic and English; in case of conflict, the Arabic version shall prevail.
11. Changes to Terms
We may update these terms from time to time. Users will be notified of material changes via email. Continued use of the Platform after changes constitutes acceptance of the updated terms.
